1. Service Description

PricePilot AI is a Shopify application that provides competitor price monitoring and advisory pricing intelligence for Shopify merchants. The App offers:

• Competitor price tracking: Automated monitoring of publicly accessible competitor product pages to capture and record price changes over time.
• Price history charts: Visual dashboards showing price trends for your products and tracked competitors.
• AI pricing recommendations: Advisory pricing suggestions generated by artificial intelligence, based on competitor price data and your current pricing.
• Email alerts: Notifications when significant competitor price changes are detected.

2. Acceptable Use

By using the App, you agree to use it only in compliance with these Terms and all applicable laws. You agree that you will:

• Only add URLs of publicly accessible product pages that do not require login or subscription to view.
• Not use the App to scrape or access pages protected by paywalls, authentication systems, or technical access controls.
• Not use the App to circumvent CAPTCHA systems, rate limits, or other security measures on third-party websites.
• Not use the App in any way that violates the terms of service of any website you add as a competitor.
• Not use the App to collect personal data about customers of any business.
• Not attempt to reverse-engineer, decompile, or otherwise derive source code from the App.
• Not use the App for any unlawful purpose or in violation of any applicable regulations.

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these acceptable use requirements.

3. Subscription Plans and Billing

PricePilot AI is offered on a subscription basis through the Shopify billing system. The following terms apply:

• Free plan: A limited free tier is available with restricted features and usage caps as described in the App listing.
• Paid plans: Paid subscription plans (Starter, Growth, Pro) are billed monthly through Shopify's billing API. Prices are as listed in the Shopify App Store at the time of subscription.
• Billing cycle: Subscriptions are billed on a recurring monthly basis. Your billing date is set at the time you upgrade to a paid plan.
• Cancellation: You may cancel your subscription at any time from within the App or by uninstalling the App from your Shopify admin. Cancellation takes effect at the end of the current billing period. No refunds are issued for the unused portion of a billing period.
• Plan changes: Upgrades take effect immediately and are prorated. Downgrades take effect at the start of the next billing period.
• Price changes: We will provide at least 30 days' notice before changing subscription prices. Continued use of the App after a price change constitutes acceptance of the new pricing.

All billing is handled through Shopify. We do not store payment card information.

4. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, error-free, or completely secure.
• Competitor price data will be accurate, complete, or up to date at all times.
• AI pricing recommendations will result in increased sales, revenue, or profitability.
• The App will meet your specific business requirements.

Competitor websites may block or limit our ability to retrieve price data at any time. We cannot guarantee continuous data availability from any specific competitor website.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRICEPILOT AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Losses arising from pricing decisions made based on App recommendations
• Data loss or corruption
• Costs of substitute services

Our total cumulative liability to you for any claims arising from or related to the App shall not exceed the total amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

6. Intellectual Property

The App, including all software, design, trademarks, and content created by us, is owned by PricePilot AI and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App solely for your internal business purposes during the term of your subscription.

You retain all rights to your own store data (product names, prices, etc.). By using the App, you grant us a limited license to process your data as described in our Privacy Policy.

7. Termination

These Terms remain in effect as long as you use the App. Either party may terminate at any time:

• By you: Uninstall the App from your Shopify admin at any time. Cancellation of a paid subscription takes effect at the end of the billing period.
• By us: We may suspend or terminate your access immediately and without notice if you violate these Terms, engage in fraudulent activity, or if we discontinue the App.

Upon termination, your data will be deleted in accordance with our Privacy Policy.

8. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the App shall be resolved through good-faith negotiation. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration authority in the governing jurisdiction.

Nothing in these Terms limits your rights as a consumer under applicable consumer protection laws in your jurisdiction.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or an in-app notification. Your continued use of the App after the effective date of updated Terms constitutes your acceptance of the changes.

If you do not agree to the updated Terms, you must discontinue use of the App before the effective date of the changes.
